Terms of service

Last updated: 11 September 2026

These Terms of Service apply to all design, branding, marketing, web, automation, and related creative services provided by David Karuza, unless a separate written agreement has been made for a specific project.

By commissioning services from David Karuza, the client agrees to these Terms of Service.

1. Services

David Karuza provides creative and digital services on an individual, project-based basis. Services may include:

  • Graphic design and visual communication

  • Brand identity, logo design, and rebranding

  • Packaging design and print-ready artwork

  • Marketing materials and social media assets

  • Website and landing-page design

  • Paid advertising creatives and campaign assets

  • Funnel concepts and lead-generation solutions

  • Product-detail-page and e-commerce visuals

  • AI-assisted image, video, content, and design production

  • Automation and web-solution concepts

The exact scope, deliverables, timeline, number of revisions, pricing, and any technical requirements are defined in the individual quote, project proposal, or written agreement before work begins.

2. Quotes and Project Start

All services are calculated individually per project. No subscriptions, ongoing plans, or unlimited design services are offered unless explicitly agreed in writing.

A project begins only after:

  • The client has accepted the quote or proposal in writing

  • The agreed deposit has been received, where applicable

  • David Karuza has received all required content, assets, access details, and project information

Quotes remain valid for 14 days unless another validity period is stated.

Requests or requirements that are not included in the agreed scope may require a revised quote, additional fees, and an adjusted timeline.

3. Client Responsibilities

The client is responsible for providing all information and materials required to complete the project, including where relevant:

  • A clear project brief and objectives

  • Brand guidelines and existing assets

  • Final text, product information, images, and legal notices

  • Required website, platform, advertising, or hosting access

  • Timely feedback, approvals, and consolidated revision requests

The client confirms that they have the necessary rights to all materials, including logos, images, text, trademarks, product claims, and other content supplied to David Karuza.

Delays caused by missing materials, incomplete feedback, delayed approvals, or changes to the brief may affect the delivery timeline.

4. Revisions and Scope Changes

The number of revisions is specified in the applicable quote or project agreement.

Revisions are intended for refinements within the approved concept and agreed project scope. Major changes in creative direction, new concepts, additional deliverables, new pages, new formats, or changes requested after approval are considered additional work.

Additional work will be quoted and approved before it is started. If an hourly rate applies, this will be stated in the relevant quote or agreement.

5. Timelines and Delivery

Estimated timelines are agreed on a project-by-project basis. They depend on the project scope, the timely delivery of client materials, and the client’s response times.

Unless otherwise agreed, timelines begin after the project has been confirmed, the deposit has been paid, and all required materials have been received.

David Karuza will make reasonable efforts to meet agreed timelines. However, delivery dates may be adjusted where delays result from client feedback, third-party platforms, technical dependencies, force majeure, or changes to the agreed scope.

6. Fees and Payment

Project fees are set out in the individual quote or agreement.

Unless otherwise agreed in writing:

  • A 50 percent deposit is due before work begins

  • The remaining 50 percent is due before delivery of final files or transfer of final usage rights

  • Invoices are payable within 14 days of the invoice date

  • David Karuza may pause work and withhold final deliverables until overdue payments have been received in full

Deposits secure project time and cover initial work. If a project is cancelled after work has begun, the deposit is generally non-refundable.

Any additional services, scope changes, external costs, stock assets, fonts, printing, hosting, advertising spend, software subscriptions, or third-party services are not included unless expressly listed in the quote.

7. Cancellation and Termination

Either party may end a project in writing.

If the client cancels a project after work has started, the client is responsible for paying for all work completed up to the cancellation date, as well as any non-refundable third-party costs already incurred. The deposit remains non-refundable once work has begun.

If the project is paused or delayed by the client for more than 30 days, David Karuza may reschedule the project, revise the timeline, and invoice for work completed to date.

Any unfinished concepts, drafts, working files, and materials remain the property of David Karuza until all outstanding invoices have been paid in full.

8. Intellectual Property

Upon full payment of all agreed project fees, the client receives the usage rights to the final deliverables specified in the project agreement.

David Karuza retains ownership of:

  • Preliminary concepts and rejected designs

  • Drafts, sketches, templates, source files, and working files unless specifically included

  • Processes, methods, reusable systems, and design know-how

  • Third-party assets subject to their own licence terms

Editable source files, such as Adobe, Figma, or other working files, are not automatically included. They may be provided where agreed in writing and may be subject to an additional fee.

David Karuza may display completed work in a portfolio, on social media, in case studies, and in promotional materials, unless a written confidentiality agreement states otherwise.

The client is responsible for trademark searches, registrations, legal review, regulatory compliance, product claims, copyright clearance, and the lawful use of all final materials.

9. AI and Third-Party Tools

Certain projects may involve the use of AI-assisted tools, software platforms, stock libraries, automation tools, hosting providers, advertising platforms, or other third-party services.

Where AI-generated or third-party assets are used, David Karuza will use them as part of the agreed creative process. The client understands that the availability, licensing, performance, output, and terms of third-party tools are outside David Karuza’s direct control.

The client remains responsible for reviewing and approving final content, including accuracy, brand suitability, legal compliance, product claims, advertising compliance, and intended use before publication or production.

10. Confidentiality

David Karuza will treat confidential client information, business details, access credentials, and non-public project materials with reasonable care and will not disclose them to third parties unless necessary to deliver the agreed services, required by law, or authorised by the client.

This obligation does not apply to information that is publicly available, already known without confidentiality obligations, independently developed, or disclosed with the client’s permission.

11. Liability

David Karuza provides services with reasonable professional care. The client is responsible for reviewing and approving all final deliverables before use, publication, production, printing, advertising, or implementation.

To the extent permitted by law, liability is limited to the amount paid by the client for the specific project giving rise to the claim. This limitation does not apply to liability that cannot legally be excluded or limited, including intentional misconduct, gross negligence, or injury to life, body, or health.

David Karuza is not responsible for indirect losses, lost profits, missed business opportunities, data loss, third-party platform decisions, advertising performance, printing errors after final approval, or outcomes caused by client-provided materials or instructions.

No guarantee is made regarding specific commercial results, search-engine rankings, advertising performance, conversion rates, sales, leads, or other business outcomes.

12. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Germany.

The parties will first try to resolve any dispute through good-faith discussion. If the client is a business entity, the place of jurisdiction is Hamburg, Germany, where legally permitted.

Mandatory consumer-protection rules and statutory rights remain unaffected.

13. Changes to These Terms

David Karuza may update these Terms of Service from time to time. The version published on this website applies unless a separate written agreement applies to a specific project.

Any individual agreement, quote, or project proposal accepted by both parties takes precedence over these Terms where there is a conflict.
